
ORGANIZER INDEPENDENT CONTRACTOR AGREEMENT
This Agreement is entered into on (DATE SIGNED) by and between Mindfully Minimized LLC (“Company”) and (INDEPENDENT CONTRACTOR SIGNED) (“Contractor”).
1. Independent Contractor Status
Contractor operates as an independent professional entity, not an employee. Contractor maintains sole responsibility for: [1]

Federal, state, and local business taxes.

Professional liability and commercial insurance.

All required professional tools, apparel, technology, and transport.

Company will issue an IRS Form 1099-NEC as required by law.

2. Premium Standards & Scope of Services
Contractor agrees to provide luxury-tier home organization, space planning, editing, curation, and styling services.

Manner & Means: Contractor retains absolute control over the creative methods, pacing, and means used to complete the work, and may perform organizing services for other independent clients or businesses. [1, 2, 3, 4]

Luxury Standard: Contractor agrees to perform all services meticulously, with heightened aesthetic awareness, ensuring the elite reputation of Mindfully Minimized is upheld.

Presentation: Contractor must present themselves in clean, polished, minimalist, and Company-approved professional attire while on client property.
3. Financial Terms

Compensation: Contractor will be paid: $40 per hour.

Invoicing: Payment will be made within 7 days of receiving an approved, itemized invoice.

Exclusions: Contractor is ineligible for company benefits, overtime, or expense reimbursements unless explicitly authorized in writing. [1, 2, 3, 4]
4. Insurance & Indemnification
Prior to commencing work, Contractor must provide valid certificates of insurance proving coverage for General Liability and Professional Liability (Errors & Omissions), alongside any required State of Minnesota business registrations.

Contractor agrees to defend, indemnify, and hold harmless Mindfully Minimized LLC and its members from any and all claims, lawsuits, losses, damages, or liabilities arising directly or indirectly from Contractor’s work, styling choices, or conduct. This indemnification survives the termination of this Agreement. [1]
5. High-Value Handling & Damage Liability
Mindfully Minimized serves high-end portfolios containing fine art, couture wardrobes, antiques, and luxury finishes. Contractor assumes sole financial responsibility for: [1]

Any physical damage or structural scratches caused to the client's real estate during the organization process.

Any damage, loss, or breaking of client belongings, wardrobe pieces, or assets while handling, editing, or sorting.

Company is not liable for Contractor’s physical errors, stylistic oversights, or accidental damage to client property.
6. Protection of Proprietary Methods & Systems (IP)
Contractor acknowledges that Mindfully Minimized utilizes proprietary space-planning systems, client onboarding methodologies, aesthetic styling rules, and business forms.

All such processes shared with the Contractor remain the exclusive intellectual property of the Company. Contractor may not copy, repurpose, or distribute these systems for their own independent business use or commercial gain. [1]
7. Strict Non-Solicitation of Premium Clients
Because organizing involves deeply personal, close-proximity work, client loyalty must remain with the brand. During this Agreement and for eighteen (18) months following its termination, Contractor shall not directly or indirectly solicit, accept work from, or provide independent organizing services to any Mindfully Minimized client introduced via the Company. Violation grants the Company the right to seek immediate injunctive relief and maximum legal damages. [1, 2, 3, 4, 5]
8. Absolute Discretion & Privacy (Non-Disclosure)
Contractor acknowledges that client privacy is paramount. Contractor shall keep strictly confidential all client identities, public profiles, professions, home layouts, financial details, and personal belongings. [1]

Social Media & Photography: Contractor is strictly prohibited from taking photographs, capturing video, or publishing details of the client's home, belongings, or organizational transformation on personal social media, portfolios, or public platforms without explicit, written Company permission. This obligation survives termination indefinitely.
9. Discretionary Termination
Either party may terminate this agreement at any time. Mindfully Minimized reserves the right to terminate this agreement immediately, without notice, for client complaints, boundary violations, luxury service deviations, or any behavior that compromises the Company's premium brand positioning.
10. Governing Law
This Agreement is governed by, and construed in accordance with, the laws of the State of Minnesota.
