INDEPENDENT CONTRACTOR AGREEMENT

This Agreement is entered into on 7/18/2026 by and between Mindfully Minimized LLC (“Company”) and Roberto (Carlos) Ortega (“Contractor”).

1. Independent Contractor Status
Contractor operates as an independent business entity, not an employee. Contractor maintains sole responsibility for: [1, 2, 3]

• Federal, state, and local taxes.

• Commercial insurance and worker’s compensation.

• All required professional licenses, labor, tools, vehicles, and equipment.

• Company will issue an IRS Form 1099-NEC as required by law.

• Nothing in this Agreement creates an employment, partnership, or joint venture relationship. [1, 2, 3, 4, 5]

2. Premium Standards & Scope of Services
Contractor agrees to provide white-glove relocation, packing, handling, and organizational labor services.

• Manner & Means: Contractor retains absolute control over the manner, means, and methods used to complete the work, and may perform services for other businesses. [1, 2, 3]

• Luxury Standard: Contractor agrees to perform all services safely, meticulously, and to the highest industry standards, ensuring the physical protection of luxury property and the elite reputation of Mindfully Minimized. [1]

• Presentation: Contractor and their crew must present themselves in clean, professional, and company-approved attire at all times while on client property.

3. Financial Terms

• Compensation: Contractor will be paid: $90 per hour OR $120 per two contractors.  $50 per truck if needed, and $250 disposal fee if needed for items.

• Invoicing: Payment will be made within 7 days of receiving an approved, itemized invoice.

• Exclusions: Contractor is ineligible for company benefits, overtime, or expense reimbursements unless explicitly authorized in writing. [1, 2, 3, 4]

4. Insurance & Indemnification
Prior to commencing work, Contractor must provide valid certificates of insurance proving coverage for Commercial Auto Liability and General Liability, alongside any required State of Minnesota licenses. [1]

• Contractor agrees to defend, indemnify, and hold harmless Mindfully Minimized LLC and its members from any and all claims, lawsuits, losses, damages, penalties, or liabilities arising directly or indirectly from Contractor’s or their crew’s work, negligence, or misconduct. This indemnification survives the termination of this Agreement. [1]

5. Full Property & Damage Liability
Mindfully Minimized serves high-end client portfolios. Contractor assumes sole, uncompromised financial responsibility for: [1]

• Any damage to client goods during packing, loading, transit, or unloading.

• Any physical damage to client real estate (e.g., scratched floors, dinged walls).

• Personal injury claims resulting from the execution of the services.

• Company is not liable for Contractor’s errors, omissions, property damage, or structural damage. [1, 2, 3]

6. Non-Solicitation of Premium Clients

During this Agreement and for eighteen (18) months following its termination, Contractor shall not directly or indirectly solicit, accept work from, or pivot business relationships with any Mindfully Minimized client introduced via the Company. Violation grants the Company the right to seek immediate injunctive relief and financial damages. [1]

7. High-End Confidentiality & Discretion (Non-Disclosure)
Contractor acknowledges that client privacy is paramount. Contractor and their crew shall keep strictly confidential all client identities, addresses, home layouts, financial details, and personal belongings.

• Social Media Restriction: Contractor and their crew are strictly prohibited from taking photographs, capturing video, or posting any details of the client's home, belongings, or project on social media or public platforms. This obligation survives termination indefinitely.

8. Discretionary Termination
Either party may terminate this agreement at any time. Mindfully Minimized reserves the right to terminate this agreement immediately, without notice, for unsafe conduct, failure to maintain insurance, luxury service deviations, client complaints, or any behavior that compromises the Company's brand reputation.

9. Governing Law
This Agreement is governed by, and construed in accordance with, the laws of the State of Minnesota.
